These Terms and Conditions ("Terms") govern your access to and use of lwtshop.com and its related services (the "Platform"), operated by LWT Shop ("LWT Shop", "we", "us").

By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Definitions

• "Digital Asset" means any item listed for sale on the Platform, including domain names, websites, online businesses, social media accounts and related digital property.
• "Seller" means a user who lists a Digital Asset for sale.
• "Buyer" means a user who purchases or offers to purchase a Digital Asset.
• "Transaction" means an agreed sale between a Buyer and a Seller.
• "Escrow" means the service through which Transaction funds are held until transfer is confirmed.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Platform you represent that you meet these requirements, that you are not barred from using the Platform under applicable law, and that you are not subject to sanctions that would prohibit us from dealing with you.

3. Accounts

You must provide accurate information when registering and keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately at [email protected] if you suspect unauthorised access.

One person or entity may hold one account unless we agree otherwise in writing. We may require identity verification before permitting certain activity, and may suspend access pending verification.

4. Our role

We are a venue, not a party to Transactions. The contract of sale for any Digital Asset is between the Buyer and the Seller. We are not the seller, buyer, agent, broker or guarantor of any Digital Asset.

We do not independently verify every claim made in a listing. Where we describe a listing as "verified", that refers only to the specific checks stated at the time, and is not a warranty as to the accuracy of all information, the condition of the asset, or the outcome of any Transaction.

Buyers and Sellers are responsible for conducting their own due diligence before committing to a Transaction.

5. Seller obligations

By listing a Digital Asset, you represent and warrant that:

• You are the lawful owner of the Digital Asset, or are duly authorised to sell it.
• You have the right to transfer it to a Buyer, and doing so will not breach any agreement to which you are a party.
• All information in your listing — including traffic, revenue, expenses, history and included assets — is accurate and not misleading, and any supporting evidence you supply is genuine and unaltered.
• The Digital Asset is free of any undisclosed encumbrance, dispute, penalty or restriction that would materially affect its value.
• You will disclose any material fact a reasonable Buyer would want to know, including known risks and dependencies.
• You will complete the transfer promptly and in full once a Transaction is agreed and funds are secured.

6. Third-party platform terms

This clause is important and you should read it carefully.

Many Digital Assets, particularly social media accounts, are governed by the terms of service of the platform that issues them. Those terms frequently restrict or prohibit the sale or transfer of accounts between parties. The issuing platform is not a party to any Transaction on LWT Shop and is not bound by it.

Accordingly:

• Sellers are responsible for ensuring they are permitted to transfer the Digital Asset they list.
• Buyers acknowledge that they acquire access to an account rather than any guaranteed or perpetual right to it, and that the issuing platform may suspend, restrict or reclaim an account at its discretion.
• We do not warrant that any Digital Asset will remain available, accessible or functional following transfer.
• We are not liable for any loss arising from action taken by a third-party platform in respect of a transferred asset.

7. Buyer obligations

Buyers must conduct their own due diligence, including independently verifying traffic, revenue and ownership claims. Buyers must not use the diligence process to obtain confidential information without a genuine intention to purchase.

Once a Transaction is agreed, Buyers must fund Escrow within the agreed period, inspect the transferred asset promptly, and either confirm receipt or raise a dispute within the inspection window.

8. Prohibited assets and conduct

You must not list, sell or attempt to acquire:

• Any Digital Asset you do not own or are not authorised to sell, including stolen, hacked or fraudulently obtained accounts.
• Assets containing or distributing malware, illegal content, or content that infringes intellectual property rights.
• Assets whose traffic, followers, engagement or revenue has been artificially generated or manipulated, where this is not fully disclosed.
• Domain names that infringe a third party's trademark.
• Assets connected with fraud, phishing, or any unlawful activity.

You must also not:

• Post false, misleading or fabricated evidence of performance.
• Attempt to move a Transaction off the Platform to avoid fees, Escrow or oversight.
• Reclaim, or attempt to reclaim, an asset after it has been sold and funds released.
• Harass, threaten or abuse other users or our staff.
• Scrape, reverse engineer, or interfere with the operation or security of the Platform.
• Use the Platform to launder money or evade sanctions.

9. Fees

Listing is free. On a completed Transaction we charge a commission of 20% of the sale price, deducted before payout. Escrow and payment processing fees may apply and are borne by the shared as stated at checkout.

All fees are stated before you commit to a Transaction. We may change our fees on 7 Days notice; changes do not affect Transactions already in progress.

10. Escrow and payment

Transactions are completed through Escrow. The Buyer deposits funds, the Seller transfers the Digital Asset, the Buyer inspects within the agreed window, and funds are released to the Seller on confirmation.

If the Buyer does not confirm or raise a dispute within the inspection window, funds may be released automatically. Funds held in Escrow do not accrue interest for either party.

Attempting to complete payment outside the Platform removes all Escrow protection and is a breach of these Terms.

11. Disputes between users

If a Transaction goes wrong, either party may raise a dispute through the Platform's reporting system within the inspection window. Both parties will be asked to submit evidence.

We may, at our discretion, review the evidence and make a determination as to the release or return of Escrow funds. This is an administrative service to facilitate resolution; it is not arbitration, and our determination does not affect either party's legal rights. We are not obliged to investigate any dispute and are not liable for the outcome.

Users are encouraged to resolve matters between themselves in good faith before raising a formal dispute.

12. Intellectual property

The Platform, including its design, code, text and branding, belongs to us or our licensors. You may not copy, modify or distribute it without permission.

You retain ownership of content you upload, and grant us a non-exclusive, worldwide, royalty-free licence to host, display and distribute it for the purpose of operating and promoting the Platform.

13. Suspension and termination

We may suspend or terminate your account, remove listings, or withhold payouts where we reasonably believe you have breached these Terms, engaged in fraud, or created risk for other users or for us.

You may close your account at any time. Closure does not affect Transactions in progress, outstanding fees, or obligations that by their nature survive termination.

14. Disclaimers

The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Platform will be uninterrupted or error-free, that listings are accurate, that any Digital Asset will perform as described, or that any Transaction will complete successfully.

15. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or anticipated savings, arising out of or relating to your use of the Platform.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

16. Indemnity

You agree to indemnify and hold us harmless against claims, losses, liabilities and reasonable legal costs arising from your use of the Platform, your breach of these Terms, your listings, or any Transaction to which you are a party.

17. Changes to these Terms

We may update these Terms from time to time. The revised version will be posted here with an updated date. Where changes are material, we will give [NOTICE PERIOD, e.g. 30 days'] notice. Continued use after the effective date constitutes acceptance.

18. Governing law

These Terms are governed by the laws of Sri Lanka, and the courts of Sri Lanka shall have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you have in your country of residence.

19. General

If any provision is held unenforceable, the remainder continues in force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger or sale of our business. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between us.
